These Terms of Service ("Terms") govern your access to and use of the Maple Ace website (the "Site"), products, and services offered by Maple Ace Inc. ("Maple Ace", "we", "us", "our"), located at 6665 Boul Henri-Bourassa West, Montreal, QC, H4R 1E1, Canada. Please read them carefully.

Acceptance of These Terms

By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, Refund Policy, and Limited Warranty, which are incorporated by reference. If you do not agree, you must not use the Site or place an order.

Eligibility and Accounts

To place an order or create an account, you must be at least 18 years old (or the age of majority in your province, state, or country of residence) and capable of entering into a binding contract.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at marketplace@mapleace.com of any unauthorised use of your account. We are not liable for losses arising from unauthorised access where you have failed to keep your credentials secure.

Orders, Pricing, and Payment

All prices are listed in Canadian dollars (CAD) unless otherwise noted and are exclusive of applicable taxes, duties, and shipping charges, which are calculated at checkout. We reserve the right to update pricing at any time without notice; the price applicable to your order is the price displayed at the time you complete checkout.

By submitting an order you make an offer to purchase the products at the prices and on the terms stated. Your order is accepted only when we issue an order confirmation. We reserve the right to refuse, cancel, or limit any order, including in cases of suspected fraud, pricing errors, stock unavailability, or shipping restrictions. If we cancel an order for which payment has been received, we will refund the amount paid.

We accept the payment methods displayed at checkout. By submitting payment information you represent that you are authorised to use the payment method provided. Payment is processed through [your payment processor — e.g. Stripe / Moneris]; we do not store full payment-card numbers on our servers.

Shipping, Returns, and Warranty

Shipping timelines, handling times, and conditions for international orders are set out in our Shipping Policy. Returns, refunds, and exchanges are governed by our Refund Policy. Manufacturer defects are addressed under our Limited Warranty. Each policy is incorporated into these Terms.

Intellectual Property

All content on the Site — including the "Maple Ace" name and logo, product photographs, illustrations, written copy, page layouts, code, and the overall look and feel — is owned by Maple Ace or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws.

You may view, download, and print pages of the Site for your own personal or internal business use, provided you do not alter or remove any copyright or trademark notices. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.

Acceptable Use

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorised access to any part of the Site, our systems, or other users' accounts.
• Interfere with the proper functioning of the Site, including by introducing malicious code or by scraping content beyond what publicly available robots-exclusion rules permit.
• Use the Site to harass, defame, or impersonate any person or entity.
• Resell or redistribute access to the Site or its content without authorisation.

We reserve the right to suspend or terminate access to the Site, with or without notice, for conduct we determine, in our sole discretion, to violate these Terms.

Disclaimers and Limitation of Liability

The Site and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, except for those that cannot be excluded under applicable law and the specific Limited Warranty we provide on our products. We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components.

To the fullest extent permitted by law, Maple Ace, its directors, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or in connection with your use of the Site or any product purchased through it. Our aggregate liability arising from any order will not exceed the amount you paid for the products giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law, including under the Consumer Protection Act (Quebec).

Indemnification

You agree to defend, indemnify, and hold harmless Maple Ace and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Site or any product purchased through it; or (c) your violation of any law or third-party right.

Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of the District of Montreal will have exclusive jurisdiction over any dispute arising from or relating to these Terms or your use of the Site, except where mandatory consumer-protection law grants you the right to bring proceedings before the courts of your place of residence.

Changes to These Terms

We may update these Terms from time to time. The most current version will always be available on the Site, and the "Last updated" date at the top will reflect the date of the change. Material changes will, where appropriate, be brought to your attention. Your continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.
